Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of Xchng (xchng.in), a barter marketplace connecting brands and content creators for product and service collaborations (the "Platform"). The Platform is owned and operated by The Brand Booster, with its registered office in Rajkot, Gujarat, India ("Xchng", "we", "us", or "our").

By creating an account, browsing deals, or otherwise using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.

• Brand— a business or individual registered on the Platform to post barter collaboration opportunities ("Deals").
• Creator — an individual registered on the Platform to apply for and deliver content against Deals.
• Deal — a barter collaboration listing posted by a Brand describing the product/service offered and the content expected in return.
• Barter — an exchange of products, services, or experiences for content deliverables, with no cash changing hands between Brand and Creator.
• Credits — the unit consumed by a Creator to apply to a Deal, or by a Brand to post one, as defined in Section 8.

• You must be at least 18 years old and capable of entering into a binding contract under the Indian Contract Act, 1872 to register on the Platform.
• Accounts are created and authenticated using your mobile number via OTP. You are responsible for keeping access to that number secure and for all activity under your account.
• You must provide accurate, current, and complete information during registration and profile setup, and keep it updated.
• One account per person or business entity. We may suspend duplicate or impersonating accounts.
• Creator profiles are subject to a verification review before certain privileges (such as a verified badge) are granted; Brand deal listings are subject to admin approval before going live.

• Accurately describe the product, service, or experience being offered, including its approximate value, quantity, and any conditions attached.
• Honor the terms of a Deal once a Creator has been selected — including timely dispatch of physical products (see our Shipping Policy) or provision of the agreed service/experience.
• Review and respond to applications, submitted content, and revision requests within a reasonable time.
• Not solicit creators to transact outside the Platform to avoid Platform terms, fees, or dispute processes.
• Ensure any products or services offered are lawful, safe, and accurately represented, and comply with applicable Indian advertising and consumer protection law.

• Apply only to Deals you genuinely intend to fulfil if selected, and provide accurate profile information (follower counts, niches, rates, etc.).
• Deliver content that meets the deliverables, format, and deadline agreed in the Deal, and disclose the collaboration as a paid/barter partnership where required by applicable advertising guidelines (including ASCI guidelines for influencer marketing in India).
• Communicate promptly with the Brand regarding shipping addresses, revisions, and delivery timelines.
• Not misrepresent audience size, engagement, or identity to secure a Deal.

• Every Deal is reviewed by our team before it is published live on the Platform, and may be rejected or taken down if it violates these Terms or applicable law.
• Brands set eligibility criteria (minimum followers, location, category, etc.); Creators who do not meet stated criteria may still apply but are not guaranteed selection.
• Once a Deal reaches its application deadline or the number of Creators needed, it closes to new applications.
• Either party may withdraw from an application before selection is finalized. Withdrawing after selection without valid cause may affect your standing on the Platform (e.g. completion rate, trust level).
• Boosted listings and "Deal of the Day" placements are paid promotional features that affect visibility only — they do not alter a Deal's other terms.

All payments on the Platform — brand subscription plans, creator credit packs, and promotional features such as Boost and Deal of the Day — are processed through Razorpay, our third-party payment gateway. We do not store your card, UPI, or net-banking credentials. See our Cancellation and Refund Policy for details on refund eligibility.

• Brands purchase subscription plans that include a set number of Deals they can post within a validity period.
• Creators receive monthly free credits and may purchase additional credit packs; each application to a Deal consumes one credit.
• Credits and plan allotments are non-transferable between accounts and, except as described in our Refund Policy, do not carry a cash value.

You may not use the Platform to:

• Post or request content that is illegal, defamatory, obscene, hateful, or infringing on any third party's intellectual property or rights.
• Offer or promote products/services that are counterfeit, prohibited, or unlicensed under Indian law (including tobacco, unlicensed pharmaceuticals, weapons, and similar restricted categories).
• Engage in spam, harassment, fraud, or attempts to circumvent our verification, payment, or dispute processes.
• Scrape, reverse-engineer, or interfere with the Platform's normal operation.

We may remove content and suspend or terminate accounts that violate this section without prior notice.

The Xchng name, logo, and Platform design are the property of The Brand Booster. Content created by Creators for a Deal remains subject to whatever usage rights are agreed between the Brand and Creator as part of that Deal; the Platform itself claims no ownership over such content.

• We may suspend or terminate any account, with or without notice, for violation of these Terms, suspected fraud, repeated disputes, or at our reasonable discretion to protect the integrity of the Platform.
• You may close your account at any time by contacting us; outstanding obligations under active Deals should be resolved first.
• Sections relating to payments, intellectual property, disputes, and governing law survive termination.

Xchng is a facilitator that connects Brands and Creators — we are not a party to the barter agreement formed between them and do not guarantee the quality, legality, safety, or delivery of any product, service, or content exchanged. The Platform is provided "as is" without warranties of any kind. To the fullest extent permitted by law, Xchng's aggregate liability arising out of your use of the Platform shall not exceed the fees you paid to Xchng in the three months preceding the claim.

Disagreements between a Brand and Creator over a specific Deal (non-delivery, content quality, revisions, etc.) should first be raised through the in-Platform revision and messaging tools, and may be escalated to our support team at hello@xchng.in for mediation. Any dispute, controversy, or claim arising out of or relating to these Terms that cannot be resolved through mediation shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, with a sole arbitrator appointed by Xchng, seated in Rajkot, Gujarat, and conducted in English.

These Terms are governed by the laws of India. Subject to Section 13, the courts at Rajkot, Gujarat shall have exclusive jurisdiction over any matter arising out of or in connection with these Terms or your use of the Platform.

We may update these Terms from time to time to reflect changes to the Platform or applicable law. Material changes will be notified via the Platform or WhatsApp. Continued use after changes take effect constitutes acceptance of the revised Terms.
